Thrive Holdings has agreed to acquire ADT in a transaction that values the physical security company’s equity at about $7.6 billion and gives the deal a total enterprise value of $15.3 billion, the companies announced on Thursday, October 29.

The agreement sets consideration at $10 per share. The transaction places ADT at the center of Thrive Holdings’ plan to build a long-term portfolio of companies using artificial intelligence, while giving the investment firm a major platform in home and physical security.

AI strategy moves into physical security

Thrive Holdings was created as a private-equity spinout from Thrive Capital, the venture firm founded by Josh Kushner. OpenAI is both a partner and an investor in Thrive Holdings. Under that arrangement, OpenAI provides models, technology and “forward-deployed engineers” to companies held by the investment firm.

Thrive Holdings says it currently owns more than 75 companies. Its stated approach is to hold those businesses for extended periods and use AI as part of efforts to revitalize them. The ADT agreement expands that strategy from software and business operations into security systems installed in homes and other physical environments.

“ADT will form the foundation of Thrive Holdings’ smart home security business,” the companies said in the press release.

Neither ADT nor Thrive Holdings disclosed specific products, launch dates or investment amounts tied to the combination. The companies said they intend to invest in the business and release new products, but did not describe which AI capabilities or security services those products will include.

A widening market for AI-enabled home security

The transaction comes as major technology companies increase their focus on connected home monitoring. Apple has entered the category through a new line of smart-home and security products developed with LG and Schneider Electric, while Amazon has updated its smart-home portfolio to include AI-powered home cameras, according to TechCrunch.

That competitive activity is broadening the role of AI in security beyond software-based threat detection. Companies are exploring systems that can monitor homes, interpret camera data and support physical responses, although the companies involved in the ADT deal have not said which of those functions their future offerings will provide.
