GEE Group Inc. (NYSE American: JOB) said Wednesday that it will carry out a 1-for-30 reverse stock split intended to support the company’s continued compliance with NYSE American listing standards. The staffing and human-resources services provider said the split will take effect at 5:00 pm Eastern Standard Time on November 9, 2026.
The company’s common stock is expected to begin trading on a split-adjusted basis at the opening of trading on November 10, 2026. GEE Group said the shares will continue to trade under the existing JOB ticker, but will receive a new CUSIP number, 36165A 508.
How the share consolidation will work
Under the approved transaction, every 30 shares of GEE Group common stock issued and outstanding will be combined into one share. The same 30-for-1 ratio applies to the company’s authorized common stock. The transaction reduces the number of shares outstanding without changing the proportionate ownership of stockholders in the company, apart from the treatment of fractional shares.
GEE Group said no fractional shares will be issued as a result of the reverse split. Stockholders who would otherwise be entitled to a fractional share will therefore be subject to the company’s stated treatment for those interests. The announcement’s central terms are summarized below:
- Reverse-split ratio: 1 new share for every 30 existing shares
- Effective time: 5:00 pm Eastern Standard Time on November 9, 2026
- Split-adjusted trading date: November 10, 2026
- Ticker: JOB
- New CUSIP: 36165A 508
Approval and listing context
The reverse stock split was approved by GEE Group’s board of directors and later by shareholders at the company’s 2026 annual meeting on September 30, 2026. The shareholder approval was implemented through an amendment to GEE Group’s amended and restated articles of incorporation, according to the company.
GEE Group had previously disclosed the board and shareholder approvals in a Form 8-K filed on October 2, 2026. Wednesday’s announcement establishes the schedule for putting that approved action into effect. The stated purpose is to support continued compliance with the requirements for maintaining the company’s listing on NYSE American.
At the effective time, the company said each group of 30 issued and outstanding shares will automatically become one issued and outstanding share. The change applies to stockholders as of the opening of trading on November 10, the date GEE Group identifies as the effective date for split-adjusted trading. The company did not announce a change to the JOB ticker.
GEE Group described itself as a provider of professional staffing services and human-resource solutions. The reverse split changes the share count and trading basis for its common stock; it does not, by itself, alter a stockholder’s percentage ownership in the company, subject to fractional-share treatment.
